We are pleased to provide you with an overview of the comprehensive services encompassed in our website design, logo design, local SEO, and website hosting offerings. Our commitment is to consistently strive to meet your needs and achieve your goals. To ensure clarity and transparency in our partnership, we have outlined key aspects for mutual understanding. Any item not specifically listed could be subject to additional costs; an estimate will be provided.

Website Project Assumptions:

1. Anything not explicitly included in your Project Plan & Proposal is considered out of scope and will require a separate estimate.
2. Before the commencement of the project, Client will identify and designate one (1) person within its organization (Sponsor) who has the power and authority to make final decisions and resolve internal disputes regarding the project.
3. This proposal is based upon Inspire Marketing’s understanding of the scope.
4. Client Sponsor and staff involved with this work will make all reasonable efforts to provide information required to complete the scope of the work and be available during normal business hours.
5. The scope of work includes one set of design revisions during the design stage of the project and one set of image/content revisions to the completed website.
6. Client will provide necessary access to its domain registration, hosting, email, and social media accounts as necessary.
7. Client and Inspire Marketing will cooperate and agree to work together in good faith as described herein towards completing the scope of work.
8. This project will be billed as outlined within the proposal.
9. The scope of work is developed to take place over a 4- to 6-week period.
10. Pricing within this proposal is good for 90 days.
11. Payment indicates agreement with project terms
12. Hosting charges are applicable if site is not completed after 6 months from project start date (date of deposit)
13. All project and monthly hosting invoices are subject to a 20% late fee calculated against any outstanding balance beyond the due date.

Website Projects

• Custom website graphic designs come with unlimited revisions until approved
• Custom websites will be delivered in 4-6 weeks after an approved design
• Custom websites include use of available Divi Theme functionality; additional requested programming may incur an additional fee
• Semi-custom websites will be delivered 4 weeks after kickoff meeting and design selection is received from clientHosting Charges for 

Development Sites:

• Free development server hosting for up to six (6) months from project start date
• Hosting charges applicable after the initial six-month period
• Notification of transition will be sent one (1) month in advance of charges commencement.

Hosting Services:

WordPress, Theme & Plugin Updates 

• Update all plugins – notify agency partner if a premium plugin cannot be updated
• Update WordPress and themes
• Double check functionality after updates
• Resolve errors caused by the updates

Complimentary Content Updates

• Add new content pages and posts or remove old content – includes work on up to 10 existing pages per month
• Add up to 5 new pages or posts per month
• Add new images or remove old images
• Connect sites to social media pages
• Populate up to 5 pages with SEO specifics per month
• Tasks will be targeted for completion within 5 business days beginning the day after task submission.

NOTE: We do not write content or provide stock images as part of the complimentary content updates.

NOTE: We do not host video on websites, videos will need to be provided via YouTube or similar video hosting platform

WooCommerce Updates

• We will add up to 5 new products per month
• We will install and setup WooCommerce plugins
• We will remove discontinued products
• We will help resolve WooCommerce issues
• Tasks will be targeted for completion within 5 business days beginning the day after task submission.

Website Design Changes

• Logo change outs

Website Technical Fixes

Hosting

• Virtual private servers; 16 CPU/16G Ram SSD server running Litespeed and WP Rocket
• Each site will be backed up daily for 30 days
• An SSL certificate is included for each site
• We use advanced security plugins and security settings and conduct weekly security scans
• Each website package includes 5GB of disc space
  • NOTE: Sites larger than 5GB will be charged a fee for additional storage ($10 for each additional 5GB).
• Each website package includes consistent use of up to 4 CPU’s
  • NOTE: Sites using more than 4 CPU’s that cannot be reduced will be moved to its own dedicated server and charged according to its needs, a quote will be provided to the client.

Timelines

• The general delivery time line for the first logo design concepts is 5-8 business days.
• Every following change will be delivered in 3-5 business days.
• More complex changes or redraws may be delivered up to 7 business days (depending on the complexity of work).
• All redraw deadlines are determined by the receipt of all necessary information pertaining to the re-designing of the logo.

Ownership

All the rights of approved final logo design, web design, or graphic design Inspire Marketing has created and designed for specific client belong to the client for which it was designed. Inspire Marketing does not hold any rights to the final approved design created for a client.

Trademarks

Inspire Marketing does not file a trademark application with respect to the logos, web design, or grpahic design created for its client. The client is free to register as a trademark the final approved logo design created for it by Inspire Marketing.

Any idea provided by the client: sketch, copy, fax, file… that Inspire Marketing is asked to use in the logo design process removes its responsibility from any copyright violation or warranties. In such circumstances Inspire Marketing cannot guarantee the originality of its work and therefore will not be held liable for any damages or violations.

Font Information

Inspire Marketing will provide all font names used in the logo design process. Inspire Marketing does not provide the actual font files.

Warranty

Inspire Marketing warrants that its logo designs are of its own creation and are not copied from or inspired by existing designs or trademarks but does not warrant that a logo design the same as or similar to that designed by it, but of which it was not aware at the time of its creation, does not exist. If for some coincidental reason a logo designed by Inspire Marketing looks identical to another party’s logo, Inspire Marketing will provide a free redraw session with a new set of logos.

Inspire Marketing believes in providing effective SEO services. Work may vary from month to month depending on the goals of the project and Google changes.

1. Inspire Marketing will provide the Client with Search Engine Optimization Services (hereinafter referred to as “SEO”) as described in this contract. Inspire Marketing will use specific keywords and/or phrases to improve the search engine ranking of and/or position the contents of the Client’s website.
2. All invoices must be paid in full within seven days of billing.
   Inspire Marketing’s SEO services are intended to serve two primary purposes: 1) to provide the Client with increased exposure in search engines, and 2) to drive targeted online traffic to the site.
   Inspire Marketing’s SEO Services may include (but are not limited to):
• Researching keywords and phrases to select appropriate, relevant search terms;
• Obtaining “back links” from other related websites and directories to generate link popularity and traffic;
• Editing and/or optimization of text for various html tags, meta data, page titles, and page text as necessary;
• Analysis and recommendations on optimal website structure, navigation, code, etc., for best SEO purposes;
• Recommend, as required, additional web pages or content for the purpose of “catching” keyword/phrase searches;
• Create traffic and ranking reports showing rankings in the major search engines; and
• Creating blog posts and social media posts.
3. For the purposes of receiving professional SEO services, Client agrees to provide the following:
• Administrative/backend access to the website for analysis of content and structure;
• Permission to make changes for the purpose of optimization and to communicate directly with any third-parties;
• Unlimited access to existing website traffic statistics for analysis and tracking purposes;
• Authorization to use client pictures, logos, trademarks, website images, pamphlets, content, etc., for any use as deemed necessary by Client for search engine optimization purposes; and
• If Client’s site is lacking in textual content, Client will provide additional text content in electronic format for the purpose of creating additional or richer web pages.
4. Client acknowledges the following with respect to SEO services:
• All fees are non-refundable;
• All fees, services, documents, recommendations, and reports are confidential;
• Inspire Marketing has no control over the policies of search engines concerning the type of sites and/or content that they accept now or in the future. The Client’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory;
• Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, Inspire Marketing does not guarantee #1 positions or consistent top ten (10) positions for any particular
  keyword, phrase, or search term;
• Occasionally, search engines will drop listings for no apparent or predictable reason. Often, the listing will reappear without any additional SEO. Should a listing be dropped during the SEO campaign and does not reappear within thirty (30) days of campaign completion, Inspire Marketing will re-optimize the website/page based on the current policies of the search engine in question;
• Engage in Digital Public Relations Campaigns designed to promote the firm locally and earn natural backlinks;
• Some search directories offer expedited listing services for a fee. If the Client wishes to engage in said expedited listing services (e.g., paid directories), the Client is responsible for all paid-for inclusion or expedited service fees. Inspire Marketing will offer a list of expedited listing services upon request;
• Linking to “bad neighborhoods” or getting links from “link farms” can seriously damage all SEO efforts. Inspire Marketing does not assume liability for the Client’s choice to link to or obtain a link from any particular website without prior consultation.
5. Inspire Marketing is not responsible for changes made to the website by You or other parties that adversely affect the search engine rankings of the Client’s website.
6. Additional Services not listed herein including, but not limited to, copywriting, digital public relations campaigns, advertising campaigns, and additional consulting,  can be provided for a fee of $150-$200 per hour.
7. The Client guarantees any information provided to Inspire Marketing including but not limited to text, graphics, photos, designs, trademarks, or other artwork for inclusion on the website are owned by the Client, are not subject to copyright or trademark, or that the Client received permission from the rightful owner(s) to use each of the elements. If any information provided is subject to protection, the Client will hold harmless, protect, and defend Inspire Marketing and its subcontractors from any liability or suit arising from the use of such elements.
8. During this agreement, any content or updates to the Client’s website must be submitted to and approved by Inspire Marketing. Client overwriting can impact the efficacy of Inspire Marketing’s work. Inspire Marketing is not responsible for the Client overwriting SEO work on the Client’s site.The Client will be charged an additional fee for Inspire Marketing to re-constructing the site’s content at an hourly rate of $150 per hour. Notwithstanding any other provision of this Agreement, Inspire Marketing’s obligation to provide free SEO services shall cease in the event the Client’s conduct overwrites the SEO services provided.

 Copyrights

You guarantee to us any elements of text, graphics, photos, designs, trademarks, or other artwork and/or materials you provide us for inclusion in your product or service are either owned by you, or you have permission to use them. Copyright on work completed by us is automatically assigned as follows:

1. You own the graphics and other visual elements we create for you for this project (if applicable).
2. We will give you a copy of all files and you should store them securely and safely as we are not required to keep them or provide any native source files we used in making them.
3. You also own text content, photographs and other data you provided, unless someone else owns them.

Payments

We are a digital company, and just like any other digital company you do business with, our preferred method of payment is automated credit card payments. If you would like to make other payment arrangements, please contact us. Hosting payments not made within 30 days of invoice due dates are subject to suspension.

Fulfillment

Website Design and Development:

1. Upon receipt of full payment and necessary client information, Inspire Website Design will commence the website design and development process.
2. The estimated timeline for completion will be provided to the client in writing.
3. The client will have the opportunity to review and provide feedback on the design and development process.
4. Once the website is completed, it will be deployed to the client’s chosen domain.

Website Hosting:

1. Inspire Website Design will provide reliable website hosting services.
2. The client will be responsible for timely payment of hosting fees.
3. Inspire Website Design will provide technical support for website hosting issues.

Late Fees

Automated credit card glitches:  Occasionally, something happens with your automated credit card payments – perhaps you have a new card since your last payment was charged.  If you take care of updating your payment information in Freshbooks, you will not be charged a late fee. If enough time passes before your payment information is updated that our automated system misses your scheduled payment, requiring us to invoice you for that payment(s), you may be charged a $10 late fee per missed payment per invoice.

Cancellations

Hosting services with updates are offered on a month-to-month basis and can be canceled at any time. Cancellations may take up to 5 days to process. 

Refund Policy

Due to the custom nature of website design and development services, refunds will not be issued for completed work. However, Inspire Website Design will work with clients to resolve any issues or concerns. In certain circumstances, partial refunds may be considered for significant changes or delays in the project timeline, at the sole discretion of Inspire Website Design. You may cancel a service prior to the end of the monthly service, but no pro-rated refund will be offered. If we have incorrectly charged you for a product or service you did not request, and we are notified prior to providing those products or services, we will promptly refund your money in full. Any disputes arising from this agreement will be resolved through good faith negotiation. If negotiations fail to resolve the dispute, the parties agree to submit the dispute to binding arbitration.

Fine Print

Although the language in these terms and conditions is simple, the intentions of this document are serious. These terms and conditions stay in place and need not be renewed. If for some reason one part of these terms and conditions becomes invalid or unenforceable, the remaining parts of it shall remain in place. We are not able to guarantee the functions contained in any of our products and services to always be completely error-free, and therefore you agree we will not be held liable to you, or any third party, for damages, including lost profits, lost savings or other incidental, consequential, or special damages arising out of the operation of or inability to use or operate our completed products or services, even if you have advised us of the possibilities of such damages. If any provision of this agreement is determined to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. Inspire Website Design reserves the right to modify this policy at any time. Any changes will be effective immediately upon posting on the Inspire Website Design website. By using Inspire Website Design’s services, the client agrees to abide by these terms and conditions.
